1. Acceptance of These Terms

These Terms of Service ("Terms," "Agreement") govern your access to and use of the website located at fynqmedicalbilling.com (the "Site"), as well as any related landing pages, lead generation funnels, online forms, mobile applications, communications, content, and services provided by FYNQ Medical Billing LLC ("FYNQ Medical Billing," "FYNQ," "we," "us," or "our") (collectively, the "Services").

By accessing or using the Site or Services, you agree to be bound by these Terms and our Privacy Policy, Cookie Policy, and SMS Terms & Conditions. If you do not agree, you must not access or use the Site or Services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. About FYNQ Medical Billing LLC

FYNQ Medical Billing LLC is a provider of medical billing and revenue cycle management (RCM) services to healthcare practices. We are a Wyoming limited liability company with sales offices in Arkansas, Montana, North Dakota, Texas, and Utah:

These Terms cover your use of our Site, marketing pages, lead generation forms, consultation requests, and other promotional and informational materials. The actual provision of medical billing and revenue cycle services is governed by separate written agreements including, without limitation, our Services Agreement and a HIPAA Business Associate Agreement (BAA). In the event of a conflict between these Terms and a signed services agreement or BAA, the signed agreement controls with respect to that service. With respect to protected health information (PHI), the BAA and HIPAA control.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Services. The Services are intended for business owners, operators, and decision-makers, and are not intended for personal or consumer use. By using the Services, you represent and warrant that you meet these eligibility requirements.

4. Account Registration and Security

Some features of the Services may require you to create an account or submit information through a lead generation form, demo request, or onboarding flow. You agree to:

Provide accurate, current, and complete information
Promptly update your information when it changes
Maintain the confidentiality of any login credentials
Be responsible for all activity that occurs under your account
Notify us immediately of any unauthorized access or use

We reserve the right to suspend or terminate your account or access to the Services at any time, with or without notice, if we believe you have violated these Terms or applicable law.

5. Lead Generation Forms and Demo Requests

By submitting information through our landing pages, lead generation funnels, contact forms, demo request forms, or onboarding workflows, you consent to:

Be contacted by FYNQ Medical Billing LLC and our authorized representatives by phone, email, and text message at the contact information you provided
Receive follow-up communications regarding your inquiry, including marketing communications subject to your opt-out preferences
The collection, use, and processing of your information as described in our Privacy Policy

You represent that any information you submit is accurate and that you are authorized to provide it. You may opt out of marketing communications at any time as described in our Your Privacy Choices page.

6. Acceptable Use

You agree not to use the Site or Services to:

Violate any applicable federal, state, local, or international law or regulation
Submit false, misleading, or fraudulent information
Impersonate any person or entity or misrepresent your affiliation
Transmit any harmful code, viruses, malware, or other malicious software
Interfere with or disrupt the Site, Services, or any servers, networks, or systems
Attempt to gain unauthorized access to any portion of the Site, Services, or related systems
Scrape, crawl, harvest, or otherwise extract data from the Site without our express written permission

Use any automated system (including bots, scripts, or scrapers) to access the Site, except for publicly available search engine crawlers
Reverse engineer, decompile, or disassemble any portion of the Site or Services
Use the Site or Services for any unlawful, harmful, or fraudulent purpose

We reserve the right to investigate and take appropriate legal action against anyone who violates this Section.

7. Intellectual Property

7.1 Our Content

All content on the Site — including text, graphics, logos, images, photographs, videos, software, code, designs, layouts, and the selection and arrangement of content (collectively, the "Content") — is owned by or licensed to FYNQ Medical Billing LLC and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Content solely for your personal or internal business purposes related to evaluating or using our Services. This license does not permit any commercial use, resale, or redistribution of the Content.

7.3 Trademarks

"FYNQ Medical Billing," the FYNQ Medical Billing logo, and any related marks are trademarks of FYNQ Medical Billing LLC. All other trademarks, service marks, and trade names referenced on the Site are the property of their respective owners. Nothing in these Terms grants you any right to use any of our trademarks without our prior written consent.

7.4 Feedback

If you provide us with any suggestions, ideas, feedback, or other input regarding the Site or Services ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use that Feedback for any purpose without obligation to you.

8. Third-Party Services and Links

The Site may include links to or integrations with third-party websites, services, products, or content, including but not limited to Google Ads, Google reCAPTCHA, Google Analytics, Meta/Facebook, LinkedIn, Twilio, Phone.com, healthcare clearinghouses, and billing/RCM software vendors.

FYNQ Medical Billing LLC does not control these third parties and is not responsible for their content, privacy practices, terms of service, products, or services. Your use of any third-party service is governed by that third party's own terms and privacy policy. We encourage you to review them carefully.

This Site is protected by reCAPTCHA, and the Google Privacy Policy and Terms of Service apply.

9. Pricing, Quotes, and Proposals

Any pricing, quotes, proposals, or estimates provided through the Site or in response to a request are for informational purposes only and are not binding offers unless and until reduced to a signed written agreement between you and FYNQ Medical Billing LLC. Pricing is subject to change without notice and may depend on factors such as specialty, monthly collections, claim volume, and scope of services.

10. Communications

By providing your contact information, you agree that we may contact you by phone, email, and SMS text message regarding your inquiry, account, and the Services. SMS communications are governed by our SMS Terms & Conditions. Marketing email and SMS communications are subject to your opt-out preferences as described in our Privacy Policy.

11. Disclaimers

THE SITE, SERVICES, AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, FYNQ MEDICAL BILLING LLC DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:

Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement
Warranties that the Site or Services will be uninterrupted, secure, error-free, or free of viruses or other harmful components
Warranties regarding the accuracy, completeness, reliability, or timeliness of any Content
Warranties regarding the results obtained from the use of the Site or Services

Any service descriptions, pricing, claim-processing details, software capabilities, or other details described on the Site are subject to change and are not guaranteed unless confirmed in a signed agreement.

No advice or information, whether oral or written, obtained from us or through the Site shall create any warranty not expressly stated in these Terms.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FYNQ MEDICAL BILLING LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF FYNQ MEDICAL BILLING LLC ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU HAVE PAID TO FYNQ MEDICAL BILLING LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, WHICHEVER IS GREATER.

THIS LIMITATION OF LIABILITY APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify, defend, and hold harmless FYNQ Medical Billing LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Your violation of these Terms
Your violation of any applicable law or regulation
Your violation of the rights of any third party
Your use or misuse of the Site or Services
Any information you submit through the Site
Any dispute between you and any third party related to your use of the Site or Services

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.

14. Termination

We may suspend or terminate your access to the Site or Services at any time, with or without notice, for any reason, including without limitation if we believe you have violated these Terms. Upon termination:

Your right to access and use the Site and Services will immediately cease
Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive

You may stop using the Site at any time. Termination of these Terms does not affect any separate signed agreements you have with us, which are governed by their own terms.

15. Governing Law and Jurisdiction

These Terms and any disputes arising out of or relating to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Sheridan County, Sheridan, Wyoming:

State court (general business disputes): District Court of Sheridan County, Wyoming
Federal court (where federal jurisdiction applies): United States District Court for the District of Wyoming

The appropriate court depends on the amount in controversy and the nature of the dispute. You consent to the personal jurisdiction of these courts and waive any objection based on inconvenient forum or improper venue.

16. Dispute Resolution

16.1 Informal Resolution

Before filing a formal claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email or phone. If a dispute is not resolved within thirty (30) days of submission, either party may pursue formal legal proceedings as set forth in Section 15.

16.2 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND FYNQ MEDICAL BILLING LLC AGREE THAT ANY DISPUTE WILL BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

16.3 Statute of Limitations

You agree that any claim or cause of action arising out of or related to the Site, Services, or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred, except where prohibited by applicable law.

17. Changes to These Terms

We may modify these Terms at any time by posting the revised Terms on the Site and updating the "Last Updated" date. Material changes will be effective upon posting unless otherwise noted. Your continued use of the Site after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.

18. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

19. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, SMS Terms & Conditions, Your Privacy Choices, and any other policies or signed agreements referenced herein, constitute the entire agreement between you and FYNQ Medical Billing LLC regarding your use of the Site and supersede any prior agreements or understandings.

20. Assignment

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms at any time without notice. Any attempted assignment in violation of this Section is void.

21. Force Majeure

We will not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network or telecommunications failures, strikes, or shortages of transportation, fuel, energy, labor, or materials.
